Terms of Service

1. Agreement to Terms

By downloading, installing, accessing, or using the TalkJournal mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our App.

TalkJournal is operated by Rays Health Technologies LLC, a Delaware limited liability company ("we," "us," or "our").

2. Description of Service

TalkJournal is a voice-first journaling application that allows you to:

  • Create journal entries through voice-to-text transcription
  • Type journal entries manually
  • Organize entries with list and calendar views
  • Optionally sync entries to your personal cloud storage (iCloud or Google Drive)

3. Eligibility and Account Registration

  • You must be at least 13 years old to use TalkJournal
  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • One account per person; sharing accounts is prohibited
  • You may not use the App if you are prohibited from receiving services under applicable law

4. Subscription Terms

4.1 Subscription Plans

  • Monthly subscription: $1.99/month
  • Annual subscription: $11.99/year

4.2 Billing and Renewal

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your device's App Store settings
  • No refunds for partial subscription periods
  • We may change pricing with 30 days advance notice

5. Privacy and Data Handling

5.1 Your Data Ownership

  • You retain complete ownership of all journal entries and content you create
  • Your journal entries are stored locally on your device
  • We do not access, read, or store your journal content on our servers

5.2 Cloud Sync

  • Cloud synchronization uses your personal iCloud (iOS) or Google Drive (Android) account
  • Synced data remains in your personal cloud storage
  • We do not have access to your synced data
  • Cloud sync is optional and controlled by you

5.3 Voice Processing

  • Voice recordings are processed locally on your device for transcription
  • Voice data is not transmitted to our servers or third parties
  • Original voice recordings are not stored after transcription

6. Acceptable Use

You agree not to:

  • Use the App for any illegal purposes or activities
  • Attempt to reverse engineer, hack, or compromise the App's security
  • Share your account credentials with others
  • Use the App to create, store, or transmit harmful, abusive, or illegal content
  • Attempt to interfere with the App's operation or other users' experience
  • Violate any applicable laws or regulations

7. Intellectual Property

7.1 App Ownership

  • TalkJournal retains all rights, title, and interest in the App
  • You receive a limited, non-exclusive, non-transferable license to use the App
  • You may not copy, modify, distribute, or create derivative works of the App

7.2 Your Content

  • You retain ownership of all journal entries and content you create
  • You grant us limited rights necessary to provide the service (e.g., displaying your entries back to you)
  • We do not claim any ownership rights to your personal journal content

8. Disclaimers and Limitations

8.1 Service Availability

  • The App is provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free service
  • Features may be modified, updated, or discontinued at our discretion

8.2 Data Loss

  • You are responsible for backing up important journal entries
  • We are not liable for any data loss, corruption, or deletion
  • We strongly recommend enabling cloud sync for data backup

8.3 Third-Party Services

We are not responsible for the availability or functionality of iCloud, Google Drive, or App Store services. Third-party services are governed by their own terms and privacy policies.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you shall not exceed the amount you paid for the subscription in the 12 months before the claim
  • We are not liable for any indirect, incidental, special, or consequential damages
  • We are not liable for data loss, business interruption, or loss of profits

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses arising from: your use of the App; your violation of these Terms; your violation of any third-party rights; or content you create or share through the App.

11. Termination

11.1 Termination by You

  • You may stop using the App at any time
  • Cancelling your subscription stops future charges but allows access until the end of your billing period

11.2 Termination by Us

  • We may suspend or terminate your access for violations of these Terms
  • We may discontinue the App with reasonable notice

11.3 Effect of Termination

  • Your local data remains on your device
  • Synced data remains in your personal cloud storage
  • No refunds for unused subscription periods

12. Changes to Terms

  • We may update these Terms from time to time
  • We will notify you of material changes through the App or email
  • Continued use of the App constitutes acceptance of updated Terms
  • You may stop using the App if you disagree with changes

13. Governing Law and Disputes

  • These Terms are governed by the laws of Delaware, United States
  • Any disputes will be resolved in the courts of Delaware
  • You agree to resolve disputes individually, not as part of a class action

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and TalkJournal regarding the App.

14.2 Severability

If any provision of these Terms is found invalid, the remaining provisions continue in effect.

14.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.
